1.About these terms#
These terms are between EasyFlowAI Pty Ltd (ABN 31 686 450 206), trading as PrepDesk (“PrepDesk”, “we”, “us”) and you. They cover three things: this website (prepdesk.com.au), the PrepDesk waitlist, and the PrepDesk service (app.prepdesk.com.au). Sections 2 and 3 apply to everyone. The rest apply when your firm uses the service, where “you” means the firm and the people it adds.
By using the website, joining the waitlist or using the service, you agree to these terms.
2.Using this website#
This website describes PrepDesk. It is general information, not tax, legal or financial advice. Features, planned prices and dates may change before PrepDesk opens, and the pricing that applies to your firm is the pricing shown when your firm signs up.
Please don’t misuse the site: don’t try to break in, overload it, get around its limits, or use it to send spam.
3.The waitlist#
Joining the waitlist is free and needs no payment details. It doesn’t create a contract to supply PrepDesk, and it doesn’t guarantee you a place, a start date or a price.
We may offer founding-firm places and early pricing to people on the waitlist, on terms we’ll set out when we do. We decide who is offered a place and when. We may close the waitlist at any time.

4.What PrepDesk does#
PrepDesk reads the documents your firm uploads and prepares workpapers for your review. Every figure shows the document and page it came from, or a written reason.
PrepDesk prepares; your firm decides. Your registered tax agent reviews, decides and lodges. PrepDesk doesn’t give tax advice, isn’t a registered tax agent, and doesn’t lodge anything with the ATO. Emails PrepDesk drafts for your clients never give advice.
5.AI output is a suggestion#
PrepDesk uses AI to read documents and suggest figures. AI can be wrong. Every figure PrepDesk prepares is a suggestion until a person at your firm reviews it, and tax judgements are always left to a person.
Anything exported before a person has signed it off is marked “DRAFT, NOT REVIEWED”. Don’t rely on a draft, or give one to a client, as if it had been reviewed.
6.Your responsibilities#
- You review every workpaper before relying on it, and you are responsible for your clients’ returns, the advice you give, and your obligations under the Tax Agent Services Act 2009 and the Code of Professional Conduct.
- You only upload documents, and connect services, that you are entitled to give us. You tell your clients how their information is handled and have their consent where the law requires it.
- You keep logins to the person they belong to, and everyone uses two-step sign-in. You tell us promptly if you think an account has been misused.
- You don’t use PrepDesk to break the law, to upload malicious files, or to try to reach another firm’s data or get around the service’s limits.
7.Your firm’s data#
Your firm owns its data and its clients’ data. We handle it only to provide the service to your firm, on your instructions, as set out in our Privacy policy and our data processing agreement with your firm, and only in Australia.
We never use your data to train AI models. Our staff can see your firm’s data only through a read-only access grant your firm approves, for at most 72 hours, with every view recorded.
8.Connected services#
If your firm connects Xero Practice Manager, Microsoft 365 or Google, that provider’s own terms also apply to your use of it. You can disconnect at any time in Settings › Connectors. We aren’t responsible for those services being available.
9.Plans and fees#
Plans are month to month, with no contract, at the prices on our Pricing page when your firm signs up. Prices are in Australian dollars and are charged monthly by card or Australian direct debit (BECS), through Stripe. Extra workpapers above your allowance (overage) are charged on the next invoice, up to the cap your admin sets.
PrepDesk isn’t registered for GST yet, so no GST is charged. If we register, we’ll tell you before GST is added to your invoices.
We may change prices by giving your firm’s admins at least 30 days’ notice by email. A Level price is locked for 12 months while you stay on Level.
10.If a payment fails#
Stripe retries the payment and we email your firm’s admins. If your firm’s first payment fails, preparing new workpapers pauses straight away until it is paid. Otherwise, preparing pauses after 14 days of failed payments, and after 30 days your firm moves to Hold.
While preparing is paused, uploads, client links and email intake keep working. Unpaid invoices stay open and Stripe keeps retrying; paying them lifts the pause or Hold. Your data is never deleted, and your account is never closed, because of a failed payment.
11.Suspending access#
We may suspend some or all access to the service, for as short a time as we reasonably can, if we need to protect the service, your data or other firms (for example during a security incident), if you seriously breach these terms, or if the law requires it. Where we can, we’ll tell your admins first and explain why. Suspension doesn’t delete your data.
12.Cancelling and closing your account#
An admin can close your firm’s account at any time in the app, under Settings › Close account, by typing the firm’s name and confirming with their password and authenticator code. You don’t need to call or email anyone.
- Access continues to the end of the period you’ve paid for.
- You then have 30 days to export everything. During that time the account is export-only.
- After the 30 days, your firm’s data is permanently deleted, backup copies expire within 35 days, and your admins get an email confirming it.
Plan changes and cancelling happen only in the app; the Stripe billing portal is only for updating payment and billing details and viewing invoices. If a subscription is ever cancelled in Stripe instead, the same closure starts. How refunds work is in Refunds and cancellations.
13.If we end the service#
We may stop offering PrepDesk by giving your admins at least 30 days’ notice by email. You’ll still get the 30-day export window, and we’ll refund any fees paid for time after the service ends.
14.Availability and changes#
We work to keep PrepDesk available and secure, but we can’t promise it will always be uninterrupted or free of errors. We improve the service over time and may change features. If a change would materially reduce what your plan includes, we’ll tell your admins in advance.
15.Intellectual property#
We own PrepDesk: its software, design and content. You own your firm’s data. You give us permission to use it only to provide the service to you. If you send us suggestions, we may use them to improve PrepDesk without owing you anything.
16.Liability#
Nothing in these terms excludes, restricts or changes rights you have under the Australian Consumer Law that can’t lawfully be excluded. Where the law lets us limit our liability for failing to meet a consumer guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.
To the extent the law allows:
- you are responsible for your clients’ returns and for the advice you give, and we aren’t liable for loss arising from relying on a figure or workpaper that a person at your firm hasn’t reviewed;
- we aren’t liable for indirect or consequential loss, including lost profits, revenue or data; and
- our total liability to you in connection with the service is limited to the fees your firm paid us in the 12 months before the event that caused the loss.
17.Changes to these terms#
We may update these terms. We’ll show the date at the top of this page, and if a change materially affects firms using the service, we’ll email admins at least 30 days before it takes effect. If you don’t agree, you can close your account before then.
18.Governing law#
These terms are governed by the laws of Western Australia, and the courts of Western Australia (and courts that hear appeals from them) have jurisdiction.
